It is not an open-source license. 1. Definitions "Software" means the version of Collaboration Controller carrying this license, including its plugin manifest, skills, instructions, documentation, and other accompanying materials. "Licensor" means Eli Brad. "Personal Use" means use by a natural person on their own behalf for personal, non-commercial work, study, hobby activity, or independent research. An individual student or researcher may use the Software for their own academic work even when affiliated with an educational institution, provided the Software is not centrally deployed by that institution, used to provide paid services, or incorporated into an institutional product or service. "Evaluation Use" means internal testing by a person or organization for no more than 30 consecutive calendar days beginning on first installation, solely to decide whether to obtain a commercial license. Evaluation Use does not include production use, client work, service delivery, or revenue-generating activity. "Commercial Use" means any use outside Personal Use or Evaluation Use, including use for an employer's production operations, organization-wide deployment, paid consulting, client delivery, a hosted or managed service, resale, or a revenue-generating product or service. 2. License Grant Subject to these terms, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free license to: a. install and run unmodified official copies of the Software for Personal Use; b. install and run unmodified official copies for Evaluation Use; and c. make only the temporary, cached, backup, or other technical copies reasonably necessary for those permitted uses. You may inspect material exposed by a supported platform only as reasonably necessary to understand and use the official Software. No other rights are granted. 3. Restrictions Except where applicable law gives you a right that cannot be restricted, you may not: a. modify, translate, adapt, merge, or create derivative works of the Software; b. publish, distribute, sublicense, sell, rent, lease, transfer, mirror, repackage, white-label, or make the Software available to another person; c. provide the Software or a substantial set of its functionality as a hosted, managed, consulting, outsourcing, or software-as-a-service offering; d. use the Software for Commercial Use without a separate written commercial license from the Licensor; e. copy or adapt protected expression, instructions, workflow text, or other substantial portions of the Software to create or improve a competing product; f. use the Software or substantial portions of it as training, fine-tuning, or evaluation data for another model or product, except for transient processing strictly necessary to run the Software through an authorized platform; g. remove, alter, or obscure copyright, license, attribution, or trademark notices; or h. circumvent a technical or contractual restriction applied to the Software. 4. Commercial Licensing Commercial Use requires a separate written agreement signed or otherwise expressly issued by the Licensor. Payment, discussion, or access to a copy does not by itself grant commercial rights. See COMMERCIAL-LICENSING.md for a non-binding description of the commercial route. 5. Ownership and Trademarks The Software is licensed, not sold. The Licensor retains all rights, title, and interest not expressly granted by this license. This license does not grant rights to any product name, logo, domain, or trademark. ChatGPT, Codex, OpenAI, and related marks belong to their respective owners. The Software is independently developed and is not made, supported, certified, or endorsed by OpenAI. Directory availability does not imply endorsement. 6. Third-Party Services The Software may operate through OpenAI products or other third-party services. Your use of those services is governed separately by their terms and policies. This license grants no right to any third-party service, account, model, data, or content. 7. Versions and Updates This license applies only to a version distributed with it. A later version may carry different terms. Installing an update does not retroactively change the license attached to an earlier version. 8. Termination Your rights under this license terminate automatically if you breach these terms. On termination, you must stop using the Software and delete all copies under your control, except copies you must retain by law. The Licensor may restore permission in writing. Sections concerning ownership, restrictions, disclaimers, liability, and prior versions survive termination where applicable. 9. Disclaimer TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE, ANY MODEL, ANY THIRD-PARTY SERVICE, OR ANY GENERATED RESULT WILL BE AVAILABLE, ACCURATE, COMPLETE, SECURE, OR FIT FOR A PARTICULAR PURPOSE. 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OR OPPORTUNITY, ARISING FROM THE SOFTWARE OR THESE TERMS. NOTHING IN THIS LICENSE EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. 11. Entire License This document is the entire copyright license for Personal Use and Evaluation Use of this version. A commercial agreement may grant different rights and, for the scope it covers, will control over this license.
